1. User Agreement

This User Agreement ("Agreement") is a legal contract between you ("User", "You") and Waaro India Private Limited ("Waaro", "We", "Us", "Our").

By accessing, registering, or using the WAARO platform, you confirm that you have read, understood, and agreed to be bound by these Terms & Conditions.

Account Responsibility:

  • You must provide accurate, complete, and updated information.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities done through your account.
  • You must immediately notify us in case of unauthorized access or misuse.

2. Platform Usage

WAARO is an intent-based B2B matchmaking platform that connects Manufacturers, Distributors, Wholesalers, Traders, Dealers, Retailers, Service Providers, and Influencers.

You agree:

  • To use the platform only for lawful business purposes.
  • Not to misuse, manipulate, or attempt to damage the platform or its users.

Prohibited Activities:

  • Providing fake or misleading business information
  • Spamming or sending unsolicited promotions
  • Scraping, crawling, or harvesting data
  • Reverse engineering or copying platform logic or algorithms
  • Uploading illegal, abusive, or misleading content
  • Impersonating any person or company
  • Waaro is a technology platform and does not act as a broker, agent, or guarantor.
  • All transactions and communications occur directly between users.
  • Waaro does not guarantee leads, sales, revenue, or business outcomes.
  • Users must not post misleading, illegal, offensive, or infringing content.
  • Scraping, spamming, data harvesting, or misuse of platform data is prohibited.

3. User Content & Business Listings

  • You are solely responsible for the content, products, and information you upload.
  • Waaro does not guarantee the authenticity, quality, or legality of any user-listed product or service.
  • Waaro reserves the right to remove or block any content or account without prior notice if it violates policies.
  • Waaro may verify business details (GST, registrations, documents) to enhance trust.
  • Verification confirms data validation only, not business credibility or performance.
  • Waaro may approve, reject, modify, suspend, or remove listings at its discretion.
  • Verification may be revoked if information is false or outdated.
  • Waaro is not liable for reliance on verified or featured listings.

4. Matchmaking, Ranking & Visibility

  • Profile ranking and visibility depend on internal algorithms, activity, category, location, and subscription plans.
  • Waaro does not guarantee top placement, impressions, inquiries, or matches.
  • Automated recommendations are indicative and not endorsements.
  • Paid listings may receive enhanced visibility.

4. Intellectual Property Rights

  • All software, design, logos, content, features, and technology belong to Waaro India Private Limited.
  • You may not copy, reproduce, sell, or modify any part of the platform without written permission.
  • All trademarks and brand assets are protected under applicable laws.

"Waaro respects the intellectual property rights of others and expects users to do the same."

6. No Guarantee of Business Results

  • Waaro is a technology platform only.
  • We do not guarantee:

    • Sales, profit, leads, conversions, or business success
    • Quality or reliability of any user, buyer, or seller
  • All business transactions are directly between users.
  • Waaro enables contact via calls, WhatsApp, forms, or integrated tools.
  • Waaro does not monitor or control off-platform communication.
  • Lead quality and outcomes depend on user conduct and market demand.
  • Users must comply with applicable anti-spam and communication laws.

7. Third-Party Services & Integrations

  • The platform may use third-party services (e.g., GST APIs, AWS API, Payment Gateway, Maps, etc.).
  • Waaro is not responsible for downtime, errors, or issues caused by third-party services.
  • Waaro may integrate third-party services (payment gateways, APIs, messaging tools).
  • Waaro is not responsible for third-party failures, policies, or actions.
  • Users agree to comply with third-party terms.

8. Data, Privacy & Security

  • User data is handled as per our Privacy Policy.
  • We follow reasonable security practices but do not guarantee 100% security.
  • You agree that digital transmission always carries some risk.
  • Waaro may collect usage data to improve services.
  • Aggregated or anonymized data may be used for analytics, reporting, or marketing.
  • Confidential business data is not sold to competitors.
  • Users consent to platform communications and service updates.

9. Child Safety Policy

  • WAARO is strictly a B2B business platform.
  • Users under 18 years of age are not allowed to register or use the platform.
  • If such account is found, it will be permanently deleted.

10. ISO 9001:2015 Compliance Note

Waaro follows structured processes for:

  • Customer support
  • Data handling
  • Service quality improvement
  • Risk management
  • Continuous improvement

However, ISO certification does not guarantee business results or user success.

11. Limitation of Liability

To the maximum extent permitted by law:

Waaro, its directors, employees, partners, or affiliates shall NOT be liable for:

  • Waaro provides services on an “as-is” and “as-available” basis.
  • Waaro is not liable for business losses, fraud, disputes, payment failures, or misconduct by users.
  • Waaro is not responsible for technical disruptions or data loss beyond reasonable control.
  • Users agree to indemnify and hold Waaro harmless from claims arising from misuse or violations.
  • Any direct or indirect loss
  • Loss of business, profit, data, reputation
  • Fraud, misrepresentation, or disputes between users
  • Service interruption or technical issues

12. Indemnification

You agree to indemnify and hold harmless Waaro India Private Limited from any:

  • Claims
  • Losses
  • Legal disputes
  • Damages

arising due to your misuse of the platform or violation of these terms.

13. Account Suspension & Termination

Waaro reserves the right to:

  • Suspend or permanently terminate any account
  • Remove any content
  • Block access without notice

if policy violation, fraud, or misuse is detected.

  • Suspend or terminate accounts without prior notice for violations.
  • Restrict access during maintenance or security incidents.
  • Modify, discontinue, or replace any platform feature or service.

Users have no claim against Waaro for such actions.

14. Influencer Conduct Policy

Influencers using Waaro agree that:

  • Promotions must be honest, transparent, and non-misleading.
  • Paid or sponsored promotions must be clearly disclosed.
  • Fake engagement, false claims, or unethical promotion is prohibited.
  • Waaro may suspend or terminate influencer accounts for violations.
  • Waaro is not responsible for influencer-generated claims or outcomes.

15. Service Availability

  • We try to provide 24/7 service but do not guarantee uninterrupted availability.
  • Maintenance, updates, or technical issues may cause downtime.

16. Legal Jurisdiction & Dispute Resolution

  • This agreement shall be governed by Indian Law.
  • Any dispute shall be subject to jurisdiction of courts in India.
  • First, disputes should be attempted to resolve through mutual discussion.
  • Disputes shall first be resolved amicably.
  • Unresolved disputes shall be subject to arbitration under applicable laws.
  • Jurisdiction and venue shall be India.
  • Users waive rights to class-action claims.

17. Force Majeure

Waaro shall not be liable for delays or failures due to events beyond reasonable control, including natural disasters, government actions, infrastructure failures, or cyber incidents.

18. Changes to Terms

  • Waaro may update these Terms & Conditions at any time.
  • Continued use of the platform means you accept the updated terms.
